Although Meridian is not a law firm and does not offer legal advice, Meridian can nevertheless assist with the initial drafting of all necessary issuing documentation to be submitted to the issuer’s designated legal counsel for review and approval, thereby saving the issuing entity multiple thousands of dollars in formation and legal fees.  Having structured numerous privately-placed MBS offerings, having real world experience drafting detailed and comprehensive PPM documents, Meridian-drafted PPM documents have typically been found to be acceptable, without major modification, by outside legal counsel.  Typical PPM documentation includes a detailed offering memorandum (including extensive and articulate explanations of risk), sample promissory notes, sample subscription agreements, a Management and Servicing Agreement and either an Assignment and Security Agreement (if Meridian is to serve as custodian FBO the investors) or an Intercreditor Agreement (if the deal is to be structured absent a custodian).
